Ricardo Juanes de Toledo


Ricardo has more than 21 years of experience in regularly advising clients on commercial law and M&A, and is an expert on the structuring of complex financial transactions in the energy industry, research and development, and family businesses

Professional Experience

  • After studying for the competitive Spanish public notary examination for six years, Ricardo began working at Castro, Suero & Varela, where he specialized in corporate finance law, project financing of renewable energy, R&D financing, as well as M&A. He became an equity partner starting in 2008
  • In February 2011, he joined KPMG as a commercial law partner, and was responsible for the practice area of Financing in Research, Development, and Innovation and Energy Efficiency Investments at KPMG Spain until September 2016
  • He is a member of the Madrid Bar Association

Professional Experience

Ricardo advises national and foreign entities as well as credit entities on real estate financing transactions, financing renewable energy projects, corporate financing, and on the structuring of asset financing, specializing in the optimization of R&D and in the financing of large investments in the energy efficiency area.

In corporate and M&A matters, Ricardo has carried out several corporate restructuring transactions and corporate groups, the international relocation of a company’s registered office, and structural modifications including mergers and divisions, and the national and international transfers of assets and liabilities.

Ricardo has extensive experience in counselling on the acquisitions of all types of corporations via purchase, merger, raising share capital, and more. He also counts with experience in new investments, legal due diligence, leveraged buyouts (LBOs), and management buyouts (MBOs).

Ricardo is specialized in sales of family businesses, industrial companies, and in general in divestments and other asset restructurings. He is acknowledged advisor in companies’ internalization processes and has been involved in several joint venture operations, regularly counselling with regard to distribution, agency and franchising agreements.
